The Fund Manager Overview

The Fund is managed by Al Mal Capital. The Fund Manager is responsible for, amongst other things, managing, administering and promoting the Fund and the Fund Investments in accordance with this Prospectus and the Regulations. Please see the section of this Prospectus entitled “Regulatory Overview” for further details of the obligations of the Fund Manager as regards the Fund and Unitholders

The Fund Manager is a private stock company established in the UAE on 17 October 2005 in the name of Al Mal Capital PSCJ and regulated by the Authority. The Fund Manager’s paid capital amounts to AED 219,780,000. The Fund Manager is majority owned 66.61% by Dubai Investments, a public joint stock company listed on DFM and it is owned 9% by H.H. Sheikh Diab Bin Zayed Al Nahyan. The remaining shares in the capital of the Fund Manager are owned by 57 shareholders none of whom own greater than 3.2% of the issued shares. Dubai Investment appointed three out of five members to the Board of Directors of the Fund Manager.

In addition to Fund management, the Fund Manager manages Al Mal UAE Equity Fund, which is established in the United Arab Emirates, Al Mal MENA Equity Fund, a joint venture investment fund established in Bahrain.

Tasks and Obligations of the Fund Manager

The Fund Manager is licensed by the Authority to establish and manage investment funds pursuant to the Investment Fund Regulations. Pursuant to the Investment Fund Regulations, the Fund Manager, amongst other things:

(i) Taking over tasks of managing, promoting and supervising the Fund in accordance with this Prospectus and the Law, and generally assume full responsibility for managing the Fund;

(ii) representing the Fund before third parties;

(iii) managing all risks and conflicts of interest;

(iv) ensuring that the assets of the Fund are kept separate from the funds and assets of the Fund Manager and from the assets of any other fund managed by the Fund Manager, and to make sure they are kept separate;
